Corporate records don't fail loudly. They drift.
Every filing, pack and certificate is a copy of facts held somewhere else. Maintain the copies by hand and they diverge — quietly, until a deal, an audit or a CIPC notice makes the divergence expensive.
The consequences in South Africa are concrete: annual returns lapse toward deregistration, beneficial-ownership filings fall out of date, and directors carry personal statutory duties against records nobody fully trusts.
Three versions of the truth
The share register says one thing, CIPC another, the working spreadsheet a third. Nobody decided this — it accumulated.
